Terms of Service

These Terms of Service ("Terms") govern your use of the RedAgents service operated by Bitvero Limited ("Bitvero", "we", "us"), a company registered in England and Wales (company number 14338196), registered office 71-75 Shelton Street, Covent Garden, London WC2H 9JQ. By creating an account or using the service, you agree to these Terms.
1. The service
RedAgents provides an AI receptionist that answers, records and logs calls and drafts actions for your approval; outreach that contacts businesses on your behalf; and AI website design and redesign. Some services are recurring subscriptions (such as the receptionist) and some are project-based (such as a custom website build or bespoke features); the specifics, plans and limits are described on our website or in a project brief and may change over time.
2. Eligibility and your account
- You must be at least 18 and using the service for business purposes.
- You must provide accurate information and keep it up to date.
- You are responsible for keeping your login secure and for all activity under your account.
3. Acceptable use
You agree not to use the service unlawfully or to:
- Send unsolicited, deceptive or unlawful communications, or use the outreach features in breach of marketing, anti-spam or privacy laws (including PECR and the UK GDPR).
- Handle calls or contacts without the notices and lawful basis required by law.
- Upload or generate content that is illegal, infringing, harassing or harmful.
- Attempt to disrupt, reverse-engineer, or gain unauthorised access to the service.
4. Your responsibilities for calls and data
You are the controller of your callers' and customers' personal data. You are responsible for informing your callers that calls are answered and recorded by an automated service, for having a lawful basis for processing, and for complying with applicable laws (including those enforced by the ICO and Ofcom). Our role and obligations as your processor are set out in our Privacy Policy.
5. Data protection
How we handle personal data is set out in our Privacy Policy. Where we process personal data about your own callers or customers on your behalf, we act as your processor and you as the controller. Those processing terms are governed by our Privacy Policy and, where required, a separate Data Processing Agreement (DPA), which we make available on request.
6. Phone numbers
Phone numbers provisioned through the service are provided via our telephony partner and licensed to you for use with the service. On cancellation, numbers may be reclaimed and reassigned. Number porting, where available, is subject to the partner's and the regulator's processes.
7. Trials, fees and billing
- New accounts may start with a free trial (currently 7 days and 30 call minutes, no card required). Trial terms may change.
- Subscription plans and included minutes are shown on our pricing page, with usage above your plan charged at the stated overage rate. Subscriptions are billed in advance and renew automatically until cancelled.
- Project-based work (such as a custom website build or bespoke features) is billed per the agreed quote or project brief — typically a deposit followed by milestone or completion payments.
- Payments are handled by our payment processor, Stripe. Fees are exclusive of VAT and other taxes unless stated.
- We may change prices from time to time; for subscriptions we give at least 30 days' notice, effective from your next billing cycle.
8. Cancellation and refunds
You may cancel a subscription at any time; it remains active until the end of the current billing period, after which access ends, and (except where required by law) fees already paid are non-refundable. Cancellation of project-based work is governed by the relevant quote or project brief, including any deposit or milestone payments for work already done. On cancellation your number may be reclaimed and your data handled as described in our Privacy Policy.
9. AI-generated content
The service uses AI, which can produce inaccurate or unexpected results. Quotes, bookings, messages and websites it generates are drafts for your review — you are responsible for reviewing and approving them before they are sent, and for the content you publish or send. We do not guarantee any particular business outcome (such as a number of calls answered, bookings, leads or conversions), and the service does not provide legal, financial or other professional advice.
10. Third-party services
The service relies on third parties (including Twilio, Vapi, Anthropic, Stripe and others). Your use may also be subject to their terms, and we are not responsible for their acts or omissions.
11. Intellectual property
We and our licensors own the RedAgents platform and its software. On full payment, you own the final website deliverables created specifically for you, excluding any pre-existing tools, templates, frameworks or underlying platform technology, which remain ours or our licensors'. You retain ownership of the content you provide and grant us the licence needed to operate and provide the service. You may not copy, resell or create derivative works from the platform except as allowed by law.
12. Availability
The service is provided on an "as is" and "as available" basis. We do not guarantee it will be uninterrupted or error-free, and we may carry out maintenance or change features from time to time.
13. Limitation of liability
Nothing in these Terms limits liability that cannot be limited by law (such as for death or personal injury caused by negligence, or for fraud). Subject to that, we are not liable for indirect or consequential loss, or loss of profits, revenue, data or goodwill, and our total liability to you in any 12-month period is limited to the fees you paid us in that period.
14. Confidentiality
Each party will keep confidential any non-public business, technical or commercial information the other shares in connection with the service, and use it only to provide or use the service — except where disclosure is required by law. This does not apply to information that is or becomes public through no fault of the receiving party.
15. Indemnity
You agree to indemnify us against claims, losses and costs arising from your misuse of the service, your content, or your breach of these Terms or of applicable law.
16. Suspension and termination
We may suspend or terminate your access if you breach these Terms, fail to pay, or use the service in a way that creates legal or security risk. Either party may terminate for a material breach if the other party does not put it right within 14 days of written notice.
17. Changes
We may update these Terms from time to time. The date at the top shows when they were last revised, and continued use after changes take effect means you accept them.
18. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory rights you have as a consumer.
